Road to Spin-Off

Our purpose is to make the mobility of tomorrow
safe, exciting, connected, and autonomous.

We have accomplished a lot since announcing our intention to evaluate the spin-off in August 2024 – from conducting detailed analyses to establishing our organizational structure and clarifying our financial setup.

 

Our ambition is clear: we want to use our path to independence to build better processes, better businesses and an even better company.

Executive Board for AUMOVIO SE appointed

Staying on track towards independence.

The Supervisory Board of AUMOVIO SE confirmed the appointment of new members to the Executive Board. Thus, we are continuing on our planned course towards becoming anindependent company, AUMOVIO SE.

The future Executive Board of AUMOVIO SE will comprise six members. In addition to Philipp von Hirschheydt, who was appointed CEO on March 12, 2025, the Executive Board will comprise Ingo Holstein, who was appointed CHRO, as well as Boris Mergell, Ismail Dagli, and Jean-Francois Tarabbia.   Philipp von Hirschheydt will also represent the User Experience business area on the Executive Board and manage the CFO function on an interim basis until the selection process for a new CFO has been concluded.

Pavel Prouza, head of the User Experience business area, and CTO Nino Romano will form part of the extended Executive Board and will report directly to Philipp von Hirschheydt.

Interview with Steffen Geisler 

Steffen Geisler, Head of Mergers & Acquisition and Real Estate, is heading our spin-off team that is working diligently to prepare the spin-off and listing at the Frankfurt Stock Exchange in September. In this interview, Steffen talks about the status quo of the spin-off project and shares his thoughts about our future Automotive organization. 

We are on a joint ride to build a great and independent company!

We are well on track. We have made great progress and laid the foundation for a great company with a strong future. A big “Thank You” therefore to all colleagues involved from different operational areas, different functional areas as well as different regional areas. 

  

With the Supervisory Board's approval in March and the official endorsement at the shareholders' meeting on April 25th, we have gained additional momentum and have already defined key pillars for our company's future. Our stand-alone financing is secured with a very robust capital structure. In addition, we are building independent corporate functions and have announced the future company headquarters in Frankfurt. Thanks to our robust project organization and diligent tracking, we are very well prepared for the next steps on our way to become an independent, listed Automotive company. The next milestone is the Capital Markets Day on June 24. We are on a joint ride to build a great and independent company! 

I am very confident because we have many strengths on which we can build. To highlight a few: As part of the spin-off project team, I am excited every day about the teamwork, dedication and expertise everyone brings in. More than 500 global colleagues are involved to get everything ready and setup for a good start as independent company. I can therefore say with the utmost conviction, that this is a true global team effort across all parts of the organization. 

  

Moreover, we have designed the listing process in a way to support a smooth start at the stock market as we can build on an existing investor base that facilitates the spin-off and will benefit from the experience we have made as part of Continental with Vitesco. Our listing in September will be a fantastic day for the team and the starting point into the future of AUMOVIO! 

The spin-off is a unique opportunity to really reinvent our company. We should not forget that we are an almost €20bn revenue company with a strong heritage and via the spin-off, we are able to reinvent the key pillars of our future. It allows us to consciously consider what we are going to maintain and what we want to stop or do differently in the future: This way we can extract the best, grow our entrepreneurial spirit, improve our organizational structures as well as processes and drive change. By drawing strength from all of this, we can shape AUMOVIO together and make it a company where we can grow and evolve.

DAX vs. MDAX

What’s the Difference?

The DAX (German Stock Index) is Germany’s most important stock index. It includes the 40 largest publicly traded companies in the country, based on their market capitalization and trading volume. Well-known companies like Siemens, BMW, and SAP are part of it.  

  

The MDAX (Mid-Cap-DAX), on the other hand, consists of the 50 largest companies below the DAX. These firms are often dynamic growth companies. Well-known MDAX companies include Lufthansa, Puma, and Hugo Boss.  

  

Why is the MDAX important?  

  

  • MDAX companies are often innovative market leaders in their industries.
  • The index is often considered more dynamic and growth-oriented than the DAX.
  • Many MDAX companies eventually move up to the DAX.

  

The composition of the MDAX is reviewed regularly with regular adjustments in March and September. In addition, a fast entry in the index is possible. The inclusion and weight of a stock in the MDAX depends on its free float market capitalization. We expect that AUMOVIO will qualify for the MDAX and will be included in the index.

Continental Annual Shareholders' Meeting Approves Spin-off

Another milestone reached

At this year's Annual General Meeting of Continental, shareholders approved the planned spin-off of the Automotive division with 99.95 percent. This decision, taken by a large majority, is a strong vote and marks an important milestone on our company's path to independence.

  

Philipp von Hirschheydt, Executive Board Member Continental and Chairman of Automotive, emphasized at the Annual Shareholders' Meeting: "AUMOVIO will stand for top technologies in software-based mobility. We have everything we need to achieve sustained success as an independent company.”

Societas Europaea (SE):

Our future legal form

Our future company will become a Societas Europaea (SE).

 

The Societas Europaea (SE) is a special type of public company that applies across Europe. It was introduced in 2004 to give companies in European countries the same legal rules. Many big German companies, like Allianz, BASF, SAP, Brenntag, and E.ON, have chosen this legal form.

 

Our future independent company will become an SE. This means that Continental Automotive has previously been a stock corporation and will in the future be a European Company (SE). As a result, an internationally composed supervisory board with members from various European countries will be possible.

 

Important for all employees: Even after the transformation into an SE, national co-determination will remain in place—both in day-to-day operations and in key corporate decisions.

Future Automotive Headquarters at Frankfurt am Main, Guerickestraße

Our current location in Frankfurt am Main (Guerickestrasse) will host our future headquarters. This allows us to build on our strong presence and long company history in the Rhine-Main-region. Established by mid-2025, the new headquarters are set up to be an efficient, lean entity collaborating with our Business Areas to drive further development as a high-performance organization and effectively guide our global operations.

  • With the positive decisions taken by the Continental Executive Board, the Supervisory Board, and the Continental Annual Shareholders' Meeting at the end of April, we have now received the “green light” to proceed on the path to independence and stock market listing.
  • Several milestones lie ahead of us, such as the Capital Markets Day on June 24. In addition, we are currently working intensively on the transition of our systems [expected to begin at the end of May/June], and we are preparing our Brand Day in September, where we will celebrate our brand.
  • In September, the official listing of AUMOVIO will take place, marking the first day our shares are traded on the stock exchange. The day before, the change in the commercial register to AUMOVIO will be completed, formally establishing our independence.
  • On our way there, we still have a number of tasks to complete. These include:
    • Establishing or expanding the necessary central functions that we need as an independent company,
    • Fulfilling stock market and regulatory requirements and establishing our own investor communications,
    • and continuing to implement our strategic measures in a disciplined manner in order consistently align ourselves with the business areas of the future and further improve our cost base.
